Edusaint Nigeria Limited ("Edusaint", "we", "us", or "our") operates EduSaint Learn and Practice (which includes the EduSaint CBT Prep mobile and Windows app), the EduSaint School Management System (including MySchoolPlus, ATPass Attendance, EduSaint Payroll, EduSaint Insight, EduSaint Credentials, and EduSaint AI Teaching Assistant), and the website at edusaint.ng. These Terms of Service govern your access to and use of all EduSaint products and services. By downloading, accessing, or using any EduSaint product, you (or, for a minor, your parent or guardian) agree to be bound by these Terms. If you do not agree, please do not use our products.

Scope of These Terms

These Terms apply to all products and services operated by Edusaint Nigeria Limited, grouped into two families:

A. EduSaint Learn and Practice (Student-Facing)

  • EduSaint CBT Prep — the mobile (Android) and Windows app for students.
  • Practice & Past Questions, Study Materials, Offline Practice, Bookmarking, Learning Community, and Performance Tracking.

B. EduSaint School Management System (School-Facing)

  • MySchoolPlus — admissions, student and staff records, academics, results, timetables, digital ID cards, library, hostel, online classes, and communication tools.
  • ATPass Attendance — attendance via QR code and manual entry.
  • EduSaint Payroll — staff salary, allowance, and deduction management.
  • Digital Wallet & Fees — school fee payments and wallet transactions.
  • EduSaint Insight — academic, financial, and operational analytics.
  • EduSaint Credentials — digital certificate issuance and QR verification.
  • EduSaint AI Teaching Assistant — AI-powered lesson plans, lesson notes, CBT questions, and student comments.

Sections 1–11 apply to all products. Sections 12–17 contain product-specific terms for the student app and the school system. Sections 18–27 cover legal and general matters applicable to all products.

1. Acceptance of Terms

By registering for, accessing, or using any EduSaint product, you acknowledge that you have read, understood, and agree to be bound by these Terms. Where you use any EduSaint product on behalf of an educational institution, you represent that you have the authority to bind that institution to these Terms.

For direct users of EduSaint Learn and Practice who are minors (under 18 in Nigeria, under 13 in the US), a parent or guardian must consent to these Terms before the minor's account becomes active. For school-managed students, the school is responsible for obtaining parental consent as part of enrollment and for ensuring that these Terms are brought to the attention of parents or guardians.

2. Eligibility

To use EduSaint products, you must:

  • Be at least 13 years of age, or have verifiable parental or guardian consent if under 18 (for direct users of Learn and Practice) or be enrolled through a participating school (for school-managed students).
  • Be a student, teacher, school administrator, or educational institution authorised to use the applicable product.
  • Provide accurate and complete registration information.
  • Not be prohibited from using our services under applicable laws.
  • For schools using the School Management System, be duly authorised to bind the school to these Terms and to any applicable subscription or data processing agreement.

3. Account Creation and Security

When you download the EduSaint CBT Prep app, an account is automatically created using a device-generated ID. You may also add an email address, username, and display name. For the School Management System, accounts are provisioned by school administrators for staff and students. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorised account access.
  • Keeping your email address updated for important communications.
  • For school administrators, managing permissions of users within your school, including promptly revoking access when a staff member leaves.

Important: If you lose your device or change devices, your CBT Prep licence and progress may not automatically transfer. Contact support for assistance. School-managed accounts are managed by the school's administrator and do not depend on a single device.

4. Licences and Premium Features

EduSaint products operate under different licensing arrangements:

  • Free student features: Limited access to practice questions, basic progress tracking, and selected subjects.
  • Premium student features (CBT Prep app): Unlimited practice, detailed analytics, topic-based recommendations, priority support, and an ad-free experience. Student app licences are bound to a device and can be transferred by deactivating the licence on the original device.
  • School subscription (School Management System): Sold on an annual subscription. The Basic plan costs ₦150,000 per year and supports up to 200 students. The Standard plan supports unlimited students. Other plans may be available; contact us for current pricing and terms.
  • Module availability: Core modules are available across plans; specific features (such as Offline CBT or ATPass Attendance) may be restricted by plan or require separate activation.
  • Additional services: Bulk SMS is charged separately per message and is not included in the annual subscription.

5. Payments and Refunds

All payments for premium student licences, school subscriptions, wallet top-ups, and materials are processed securely through our payment partners (Flutterwave and, where applicable, Paystack). By making a payment, you agree to the following:

  • Payment methods: We accept Nigerian bank cards, USSD banking, bank transfers, and any other methods supported by our payment processors.
  • No refunds: All licence and subscription purchases are final. We do not offer refunds for any reason after payment.
  • Price changes: We reserve the right to change licence and subscription fees at any time. Price changes will not affect existing licence holders or active subscriptions until renewal.
  • Failed payments: If a payment fails, premium access or the subscription will not be activated until the payment is successfully processed.
  • Billing information: You are responsible for providing accurate billing information. For schools, invoices are issued in the name of the school.
  • Bulk SMS: Bulk SMS charges are separate from subscription fees and are billed per message.

⚠️ No Refund Policy: Please ensure you are satisfied with the free version or the demo before upgrading. We do not process refund requests for any reason, including but not limited to accidental purchases, dissatisfaction with features, or technical issues.

6. User Conduct and Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

  • Attempting to reverse engineer, decompile, or disassemble any EduSaint product.
  • Using the products for any illegal purpose or in violation of any laws.
  • Sharing exam questions, answers, or materials without authorisation.
  • Attempting to bypass licence verification or payment systems.
  • Creating multiple accounts to exploit free features.
  • Uploading malicious code or attempting to compromise platform security.
  • Harassing, abusing, or harming other users, including within the Learning Community or school chat features.
  • Impersonating any person or entity.
  • Using automated scripts to interact with any EduSaint product.
  • Transferring or selling a student licence to another person or device.
  • Using the AI Teaching Assistant to generate content for resale, publication outside your school, or in violation of intellectual property rights.
  • Using EduSaint Credentials to issue fraudulent certificates or to misrepresent a credential's validity.
  • Entering highly sensitive personal data into AI prompts where it is not required for the task.

7. Content and Intellectual Property

All content available on EduSaint products — including but not limited to:

  • Practice questions, answers, and explanations.
  • Study materials, lesson plans, and lesson notes.
  • CBT questions and school examination content created by Edusaint.
  • Software code, designs, and graphics.
  • Trademarks and logos.
  • User interface and layouts.

is the exclusive property of Edusaint Nigeria Limited or its licensors and is protected by Nigerian and international copyright laws. You may not copy, distribute, modify, create derivative works of, or publicly display any content without our prior written consent.

Content created by schools: Lesson plans, notes, CBT questions, and student records that a school creates through the School Management System remain the school's property. Edusaint processes that content as a data processor and will not use it outside the purposes described in our Privacy Policy. AI-generated drafts that a school edits and publishes are owned by the school; the underlying AI models remain the property of their respective providers.

8. Data Collection and Privacy

Your use of EduSaint products is subject to our Privacy Policy. By using any EduSaint product, you (or, for a minor, your parent or guardian) consent to the collection and use of information as described in the Privacy Policy, including:

  • Device ID for account creation and licence binding.
  • Practice session data, results, and performance tracking.
  • Email address and name (optional for direct app users; required for school-managed accounts).
  • Payment information (processed securely by our payment processors).
  • For the School Management System, school-managed records entered by the school (student, parent, staff, financial, attendance, and credential data).
  • AI prompts and generated outputs where the AI Teaching Assistant is used.

Parental consent: For direct users of EduSaint Learn and Practice who are minors, the parent or guardian gives verifiable consent directly to Edusaint before the account becomes active. For school-managed students, the school obtains parental consent as part of enrollment and Edusaint relies on that consent as a data processor.

No biometrics: EduSaint does not collect, process, or store biometric data. ATPass Attendance uses QR code scanning and manual entry only.

9. Offline-First Architecture (EduSaint Learn and Practice)

EduSaint Learn and Practice — including the EduSaint CBT Prep app — is designed as an offline-first platform. Practice data is stored locally on your device, and you can use the app without an internet connection after initial download. We recommend periodically syncing your data when connected to the internet to ensure your progress is backed up. Edusaint is not responsible for data loss due to device damage, loss, or factory reset.

10. Licence Transfer and Device Changes (CBT Prep App)

Student app licences are tied to a specific device ID. If you:

  • Lose your device: Contact support to have your licence transferred to a new device.
  • Get a new device: Contact support with your email address for licence transfer assistance.
  • Uninstall the app: Your licence may be lost if you do not have an email associated with your account.
  • Factory reset your device: Your licence will be lost unless you have an email on file.

We strongly recommend adding an email address to your account in the Account page to enable licence recovery. School-managed accounts are not affected by these device-bound limits; they are administered by the school.

11. Third-Party Services

EduSaint products integrate with the following third-party services:

  • Flutterwave and Paystack: Process payments for licences, subscriptions, wallet top-ups, and materials. By making a payment, you agree to their Terms of Service and Privacy Policies.
  • Google Play Store: For app distribution and updates. Your download is also subject to the Google Play Terms of Service.
  • Cloud hosting and infrastructure providers: For server-side storage and processing.
  • AI model providers: For generating lesson plans, notes, CBT questions, and student comments. AI output is subject to the accuracy and quality of the underlying model.
  • Email and SMS gateways: For service notifications and school-to-parent communications. Bulk SMS charges are separate from subscription fees.
  • WhatsApp (Meta): When you use the "Request Removal via WhatsApp" button in the app, WhatsApp opens externally and Meta's terms apply to that interaction.

12. Product-Specific Terms — EduSaint Learn and Practice (including EduSaint CBT Prep App)

This section supplements the general sections above with terms specific to the student-facing platform.

  • Use of practice content: Practice questions, past questions, study materials, and explanations are provided for personal study. Students may not redistribute, resell, or use the content for commercial purposes.
  • Exam mode and practice mode: Exam mode runs with a countdown timer and auto-submits when time expires. Practice (study) mode is untimed and gives instant feedback. Interrupting an exam may be treated as an abandoned session; the app offers a "Continue Exam" option when a session is reopened.
  • Learning Community: Students must keep messages respectful and avoid sharing personal information. Content that violates these Terms may be removed and accounts may be suspended.
  • Performance tracking: Scores, accuracy, streaks, and history are tracked per account. These statistics are for the student's own use and are not official academic records.
  • No marketing: Edusaint does not send marketing or promotional messages to students or their parents. All communications are transactional and service-related.
  • Parental consent: Parents and guardians may withdraw consent for a minor account at any time, after which the account may be restricted or deleted.

13. Product-Specific Terms — EduSaint School Management System

This section supplements the general sections above with terms specific to the school-facing platform.

13.1 School as Data Controller

For records entered into the School Management System (students, parents, staff, results, fees, payroll, attendance, credentials), the school is the data controller. Edusaint acts as a data processor. The school is responsible for:

  • Obtaining parental consent for students as part of enrollment.
  • Ensuring that student, parent, and staff data entered is accurate and lawfully collected.
  • Handling data subject access, correction, and deletion requests in the first instance.
  • Managing permissions of school staff and revoking access when staff leave.

13.2 Subscription and Billing

  • School subscriptions are annual. The Basic plan costs ₦150,000 per year and supports up to 200 students; the Standard plan supports unlimited students.
  • Invoices are issued to the school and are payable through the payment channels provided by Edusaint.
  • Bulk SMS, Offline CBT, and other separately priced features are charged in addition to the subscription.
  • Renewal is required to keep the platform active after the subscription year ends.

13.3 ATPass Attendance — QR and Manual Only

ATPass Attendance records student and staff attendance using QR code scanning and manual entry only. Edusaint does not use biometric data (fingerprints, facial recognition, or any physiological identifier) in ATPass. Schools must not attempt to alter the attendance module to accept biometric inputs. QR codes contain only an opaque identifier, not personal data.

13.4 EduSaint AI Teaching Assistant — Human Review Required

The AI Teaching Assistant is a decision-support tool. Schools and teachers must review every AI-generated lesson plan, lesson note, CBT question, and student comment before publishing or using it in the classroom. Specifically:

  • Teachers are responsible for the accuracy, curriculum suitability, and tone of any AI-generated content they use.
  • AI must not be used to make final decisions that affect a student's grade, placement, or disciplinary outcome without human review.
  • Schools must avoid entering highly sensitive personal data into AI prompts unless strictly necessary for the task.
  • Edusaint does not use school AI inputs to train our own models or the models of third parties.

13.5 EduSaint Credentials — Authenticity

Schools issuing credentials through EduSaint Credentials must ensure the accuracy of the certificate details. Once issued, a credential's authenticity can be verified by third parties via QR code or unique credential ID. Schools may revoke credentials that were issued in error or are no longer valid.

13.6 Data Retention After Subscription Ends

When a school subscription ends, the school's data is retained for a reasonable wind-down period during which the school may export its data. After that period, the school's data is permanently deleted unless the school has requested an export or unless Edusaint is legally required to retain it. Schools should export their records before the end of the subscription period.

13.7 Integration with EduSaint Learn and Practice

Where a school enables integration with the EduSaint CBT Prep app, student practice results may be linked to the student's record in the School Management System for teacher review and report card generation. The school remains the controller of the linked records; Edusaint acts as the processor. If a student is removed from the school's records, their linked CBT Prep data remains available to the student unless the student (or, for minors, their parent/guardian) separately requests deletion of the CBT Prep account.

14. Support, Onboarding and Migration

EduSaint provides onboarding, training, and ongoing support through documented help, email, phone, and in-app support channels. Contact the team to confirm the available support channels and the support terms that apply to your subscription. Data migration from an existing system to the School Management System can be discussed at setup; the available process depends on the format, quality, and size of your existing records.

15. Account Deletion

You may request deletion of your account at any time:

Account deletion is permanent and does not refund active licences or subscriptions. Transaction records are retained as required by financial regulations. Deleting a student account does not delete the same person's record in an institution's School Management System.

16. Termination

We may suspend or terminate your access to any EduSaint product at any time, without notice, for any reason, including but not limited to:

  • Violation of these Terms of Service.
  • Cheating, fraud, or abuse of platform features.
  • Attempting to bypass licence verification or payment systems.
  • Issuing fraudulent credentials via EduSaint Credentials.
  • Using the AI Teaching Assistant in violation of Section 6.
  • Request by law enforcement or government agency.
  • Technical issues or security concerns.

Upon termination, you will lose access to all account features, including premium content and practice data. No refunds will be provided for terminated accounts or cancelled subscriptions.

17. Suspension of School Subscriptions

Where a school fails to renew its subscription, the platform enters a read-only or suspended state, and access to modules may be restricted until renewal. Edusaint will provide reasonable notice before suspending access. During suspension, the school may export its data as described in Section 13.6.

18. Disclaimer of Warranties

EduSaint products are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. We do not warrant that:

  • The products will meet your specific requirements or academic goals.
  • The products will be uninterrupted, timely, secure, or error-free.
  • Exam results or AI-generated content will lead to academic success or certification.
  • Any errors in the products will be corrected.
  • AI-generated content is free of errors, biases, or omissions — human review is always required.

19. Limitation of Liability

To the maximum extent permitted by law, Edusaint Nigeria Limited, its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of EduSaint products, including but not limited to:

  • Loss of data or practice progress.
  • Loss of licence due to device changes or uninstallation.
  • Inability to access the platform due to technical issues.
  • Academic performance or exam results.
  • Errors or omissions in AI-generated content that was published without human review.
  • Issues arising from third-party services (payment processors, cloud hosting, AI model providers).

Our total liability shall not exceed the amount paid by you (or, for schools, by the school) for the applicable licence or subscription in the 12 months preceding the claim.

20. Indemnification

You agree to indemnify, defend, and hold harmless Edusaint Nigeria Limited from any claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your use of any EduSaint product.
  • Violation of these Terms of Service.
  • Violation of any third-party rights, including intellectual property rights.
  • Violation of applicable laws or regulations.
  • Content published by the school, including AI-generated content that was not reviewed before publication, fraudulent credentials, or inaccurate records entered into the School Management System.

21. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Abuja, Nigeria.

22. Dispute Resolution

Before filing a legal claim, you agree to first contact us to resolve the dispute informally. If the dispute cannot be resolved informally within 30 days, either party may initiate formal proceedings. Any arbitration or legal action must be filed within one year after the claim arose.

23. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Edusaint Nigeria Limited regarding your use of EduSaint products and supersede all prior agreements. Where a school has a separate written subscription or data processing agreement with Edusaint, that agreement prevails to the extent of any conflict.

25. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, internet failures, or government regulations.

26. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of changes through:

  • In-app notifications.
  • Email (if you have provided an email address).
  • For schools, email notification to the school's designated admin contact.
  • For minors, notification to the parent or guardian of record.
  • Updating the "Last Updated" date at the top of this page.

Your continued use of any EduSaint product after any changes indicates your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the product and, where applicable, delete your account.

28. Google Play Store Requirements

By downloading the EduSaint CBT Prep app from the Google Play Store, you also agree to the Google Play Terms of Service. Any disputes regarding the app are subject to the laws of Nigeria and the jurisdiction of Nigerian courts.

By downloading, installing, or using any EduSaint product — including EduSaint Learn and Practice, EduSaint CBT Prep, EduSaint School Management System, MySchoolPlus, ATPass Attendance, EduSaint Payroll, EduSaint Insight, EduSaint Credentials, or the EduSaint AI Teaching Assistant — you (or, for minors, your parent or guardian) acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
